论中国股票市场发展的出路

摘要
本论文主要对中国股票市场宏观制度环境方面、上市公司股权结构方面、中国股票市场体系方面以及中国股票市场监管和信息披露方面进行深入探讨，系统地阐明了中国股票市场宏观制度创新的路径、优化中国上市公司股权结构的方向和模式、完善中国股票市场体系的途径以及强化监管和规范上市公司信息披露的政策建议。
针对中国股票市场制度性缺陷问题。文章运用市场经济公平竞争的基本理论前提，为中国股票市场制度创新的战略思路提供参考和借鉴。指出中国股票市场的发展模式应由“政府控制型”向“市场取向型”演进；其功能定位，应由“筹资型”向“资源配置效率型”演进；市场目标应由“国企改革服务型”向“国民经济服务型”演进。在此分析的基础上，阐明了中国股票市场宏观制度创新的路径：其一是矫正中国股票市场的角色定位，解除政府的隐性担保责任；其二是严格上市标准，消除上市公司质量隐患。关于中国股票市场股权结构问题，在研究欧美股权控股模式优缺点的基础上，通过法人治理结构的重构、对内部人控制的控制和经理人激励与约束机制的强化，达到优化中国上市公司股权结构的目标。在规范中国股票市场监管和上市公司信息披露方面，针对缺乏监管的严肃性和违法惩罚力度的弱化所造成政府监管的随意性和波动性的问题，指出政府监管法制化和市场化的思路。关于中国股票市场体系问题。主要表现股票市场的单一性，不能满足不同层次的融资需求。通过研究国外发达国家股票市场体系，指出完善中国股票市场的方向。就是要建立由主板市场、二板市场和三板市场组成的多层次市场体系。
This paper makes a detailed discussion on Macro-Institution environment of stock market in China, the stock right structure of listed company, stock market system in China and the supervision and information disclosure of stock market in China. It clarify some suggestions about the way of macro-institution originality in stock market in China , about perfecting the direction and mode of stock right structure of listed company in our country, about the method of perfection for stock market system in China, about the strengthening supervision and regulating information disclosure system of listed company in China.
This paper first analyses the defect of stock market system in China, which provides consult for system originality of stock market in China. That is, the developing mode of stock market should be transferred from "government control" to
"market oriented" , its functions should be transferred from "capital accumulated" to "resource allocation efficiency" , the market target should be transferred from
"service for the reform of state-enterprises " to "service for the National economic" . Firstly, we should rectify the role of stock market in China, and removes government's responsibility for hidden assurance. Secondly, the listed standard should be strict so as to eliminate the hidden danger of quality of listed company. Then, this paper analyses the stock right structure in stock market in China, This paper points out it can be solved by four ways, which are absorbing the virtues of holding mode of stock rights in America and Europe, optimizing the stock rights structure of listed companies in China. Besides, This paper points out the improving direction for government supervision institutionalization and information disclosure regularity of listed company. This paper finally analyses the structure system of stock market in China, it is urgent to perfect the structure singularity of stock market in China, this paper provides some politic suggestions to build multi-rank stock market system.
