郑煤集团改制策划方案

摘要
通过对郑煤集团公司的历史沿革、公司结构、资产负债状况、人力资源状况以及企业改制现状的研究,结合其所处的行业特点、经济趋势、政策环境等影响因素的分析,并对方案的实施步骤、存在问题及注意事项也进行了探讨,在当前法律和政策允许的范围内,结合企业的实际情况,对改制过程中难度较大的环节进行了操作方式上的创新,以最大限度地满足可操作性。侧重稳定,兼顾效益,制定出了这套精干主业、主辅分离、辅业改制、分离企业办社会的改制策划方案。
     二十年的国有企业改革一直没有触及产权这个实质性的问题,对结构性失业的国有企业职工安置也没有良好的方案,另外还有很多制约性因素,使得国企改制步履艰难。郑煤集团公司是一股独大的国有有限责任公司,前身是郑州矿务局,资产总额54.87亿元,在册职工4万5千人,主营业务为煤炭生产、火力发电、电解铝,通过多元化经营形成了包括铁路、建材、机制机修、轻化制药、金属制品、宾馆旅游、科技信息、农林牧副等跨行业、跨地区的企业集团。根据国家政策要求,2005年以前完成精干主业、分离辅业的产权制度改革,并对郑州地区的所有煤炭企业进行资源整合,采取收购、控股、联合等多种方式完成郑州地区600多家煤炭企业的兼并。
     在这种背景下,本文不仅利用各种有利条件制定了郑煤集团公司改制方案,还重点对改制的指导思想、总体思路、方案存在问题及注意事项进行了阐述,提出了一系列适合当前形势、切合企业实际的创新性思路。
     本文的创新点主要有:利用资源整合,带动规模扩张,增加就业机会,减少富余人员向社会的流动,解决了一直困绕国有企业改制的瓶颈问题;通过合理的股权设置,使有着行政级别的国企领导人变成了真正的企业家,建立了卓有成效的激励控制机制;根据企业的地理特点,提出了逐步、多方式地分离企业办社会的设想,避免社会职能出现管理上的真空。
     经过一系列操作方式的创新,突破了国有企业改制的重重壁磊。方案中对实施步骤进行了整体规划,指出了操作时的存在问题及注意事项,使得本策划方案具有很强的可操作性,达到了精干主业、主辅分离、辅业改制、分离企业办社会的改制目的。
     以此策划方案为基础的郑煤集团企业改制方案已得到了河南省国资委的批复,2004年郑煤集团公司将按照此方案进行主辅分离、辅业改制、分离企业办社会等一系列改制,计划2005年底全部完成。
