上市公司融资结构对治理结构的作用机制研究

摘要
融资结构与治理结构是企业走向市场化过程中所遇到的现实问题。融资结构不仅影响企业的资本成本和企业总价值，而且影响企业的治理结构。对融资结构与治理结构关联性的研究，已成为一个前言性、挑战性的课题，正日益引起理论界和实务界的关注，这使得本文的研究具有一定的理论意义和现实意义。
本文以国内外研究文献和实证分析为基础，以企业融资结构为切入点，先研究企业融资方式与融资结构的一般理论，再引入社会制度因素，研究不同国家、不同经济制度下的融资结构与治理结构，然后说明融资结构对公司治理结构的作用机制，并引入中国的现实情况，研究与分析我国上市公司融资结构现状对公司治理结构产生的一些不利影响，最后提出强化融资结构对公司治理结构作用机制的对策和建设，以使我国公司治理结构变得更加完善与合理。
Both finance structure and corporate governance are the main issues that firms will encounter during the process of marketization. Financing structure not only influences the cost of capital and the total valuation of firm, but also influences corporate governance. The study of the relation between financing structure and corporate governance has become a front and challenge research project, increasingly being put more and more attention by the theoretical and empirical circles. These have made my study sensible and meaningful.
Based on large volumes of research literature and positive analysis of Chinese and foreign scholars. This article focuses on the line of corporate financing patterns#financing structure#corporate governance. It first examines the general theories of corporate financing patterns and structure. Then factors of social institution are introduced and financing structure and corporate governance of different countries and economic systems are studied. And based on these, the mechanism of financing structure on corporate governance are expanded and the real conditions
of nowadays china are also taken into consideration, which includes the influences not being of benefit to corporate governance because of the listed companies financing structure's the current situation. Finally the paper presents the main strategies and proposals on how to strengthen the mechanism of the financing structure on corporate governance. And during this process, we can make the corporate governance even better.
本文以国内外研究文献和实证分析为基础，以企业融资结构为切入点，先研究企业融资方式与融资结构的一般理论，再引入社会制度因素，研究不同国家、不同经济制度下的融资结构与治理结构，然后说明融资结构对公司治理结构的作用机制，并引入中国的现实情况，研究与分析我国上市公司融资结构现状对公司治理结构产生的一些不利影响，最后提出强化融资结构对公司治理结构作用机制的对策和建设，以使我国公司治理结构变得更加完善与合理。
