认缴资本制下债权人利益保护研究——对非破产情形下股东出资加速到期理论的批判

摘要

通过对非破产情形下加速股东出资义务理论的正当性分析,认为该路径在认缴资本制下保护债权人利益存在逻辑矛盾与适用障碍,应当通过建立与完善破产法律制度、信息披露制度以及信用体系保障债权实现。
        By analyzing the legitimacy of the theory on accelerating shareholders' contribution obligation under the non-bankruptcy situation,this paper holds that there are logical contradictions and applicable obstacles in the path of protecting creditors' interests under the subscription capital system,and it should be realized by establishing and improving the bankruptcy legal system,information disclosure system and credit system to protect creditors' rights.
