当科创板遇到知识产权——知识产权归属篇

摘要
上海证券交易所就科创板首轮问询回复及后续进展向社会公开了相关情况,其中企业核心技术作为关键问题受到重点关注。目前企业提交的招股说明书在核心技术信息披露方面存在披露不充分、信息不完整等问题,上海证券交易所通过多轮问询制度可以督促企业提高信息披露质量,帮助投资者了解企业价值。技术来源及归属的确定与技术保护形式、技术人员背景、技术创造过程息息相关,企业应当根据不同技术保护的特点建立相应的知识产权合规管理制度降低法律风险。
The Shanghai Stock Exchange disclosed the relevant information to the public on the first round of inquiry and follow-up progress of the Sci-Tech Innovation Board Market,and the core technology of the enterprise was the key issue.At present,the prospectus submitted by the enterprise have some problems with insufficiency and incompleteness of the disclosure of core technology information.The Shanghai Stock Exchange could supervise enterprises to improve the quality of information disclosure and help investors understand the value of the company through the multiple rounds of inquiry system.The determination of technology source and ownership is closely related to the protection form of technology,background of technician and technology generation process.Enterprises should establish corresponding intellectual property compliance management systems to reduce legal risks according to the characteristics of different form of technology.
